The specific scope, timeline, and deliverables for any engagement are agreed upon individually and documented in a separate service agreement or statement of work.

We reserve the right to modify, suspend, or discontinue any aspect of our services at our discretion. Service availability may vary depending on scheduling, capacity, and the nature of the engagement.

4. User Responsibilities

Fees for our consulting services are outlined in individual proposals or service agreements. All fees are quoted in New Taiwan Dollar (TWD) unless otherwise specified. Payment terms, including deposit requirements, installment schedules, and due dates, are detailed in each engagement's contract.

Late payments may be subject to a monthly interest charge as permitted under Taiwanese law. We reserve the right to suspend work on any engagement where payment is overdue by more than 30 days.

Refund eligibility depends on the stage of the engagement and is governed by the specific terms of the applicable service agreement. General website inquiries do not involve any financial obligation.

7. Confidentiality

Both parties acknowledge that confidential information may be shared during the course of an engagement. Each party agrees to hold such information in confidence and not to disclose it to any third party without the prior written consent of the disclosing party, except as required by law.

Confidentiality obligations survive the termination or expiration of any engagement and remain in effect for a period of two years following the conclusion of services, unless a different duration is specified in the service agreement.

8. Disclaimers

Our website and its content are provided on an "as is" and "as available" basis. Our total cumulative liability for any claims arising from or related to a specific consulting engagement shall not exceed the total fees paid by you for that particular engagement. This limitation applies regardless of the form of action, whether in contract, tort, negligence, or otherwise.

You agree to indemnify, defend, and hold harmless Ironbridens and its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the website or services, or your violation of any law or the rights of a third party.

11. Termination

We may restrict or terminate your access to our website at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Either party may terminate a consulting engagement as specified in the applicable service agreement. Upon termination, all outstanding fees for work completed remain due and payable. Provisions regarding confidentiality, intellectual property, limitation of liability, and indemnification survive termination.

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, government actions, pandemics, civil unrest, infrastructure failure, or interruptions to internet or telecommunications services. Affected timelines will be adjusted proportionally where possible.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of China (Taiwan). Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Taipei, Taiwan.

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of no less than 30 days. If negotiation does not resolve the matter, either party may pursue mediation or proceed to the competent court.

14. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Ironbridens regarding the use of our website. Specific consulting engagements are additionally governed by their respective service agreements.

Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. Ironbridens may assign its rights and obligations without restriction.
